1. Eligibility: The Stride Vault Contest (hereafter, "Contest") is open to legal residents of the 50 United States and the District of Columbia who are 13 years of age or older, except for residents of the State of Maine who must be 18 years of age or older, as of date of entry. All minor entrants should have a parent's or legal guardian's permission to participate in this Contest. Officers, directors, employees, representatives, and agents of Cadbury Adams USA LLC ("Sponsor"), Gold n Fish Marketing Group LLC, Project Support Team, Inc. and any of their respective parents, affiliates, subsidiaries, retailers, distributors, suppliers, and advertising and promotion agencies (collectively, the "Released Parties"), and the immediate family members (parent, spouse, child, or sibling, and their respective spouses, regardless of where they reside) of such officers, directors, employees, representatives and agents, and those living in their same households, whether or not related, are not eligible to enter or win a prize. Void in Puerto Rico and where prohibited or restricted by law. All applicable federal, state and local laws apply.
2. Promotion Period: Contest begins at 12:00:00 p.m. (noon) Eastern Time ("ET") on 1/13/10 and ends at 11:59:59 p.m. ET on 12/14/10 ("Promotion Period"). The Promotion Period will be divided into eleven (11) individual monthly entry periods (each, a "Monthly Entry Period"), as follows:

3. How To Participate: To participate, you must submit an essay in five-hundred (500) characters or less (counting all characters including spaces, punctuation, numbers, etc.) describing what ridiculous idea you have always wanted to do and why (the "Theme"). Submit your essay, along with the fully completed Official Entry Form as described in Section 4 below (collectively, the "Entry").
Please exercise common sense in your choice of "ridiculous idea". You may enter as often as you like, however to be eligible, Entry cannot have been previously published or submitted in any competition and must be (i) complete; (ii) in English; (iii) substantially different from any other Entry you are submitting (as determined by Sponsor in its sole discretion); and (iv) your original creation and solely owned by you. In addition, to be eligible, Entries must not infringe upon any intellectual property or any other third party rights or violate any laws.
Modification of an existing work does not qualify as original. In the event that your Entry is substantially identical to a prior entry from you or anyone else, the subsequent Entry may be disqualified in Sponsor's sole discretion, except that if your Entry is a non-winning Entry from a prior Promotion Period, you may submit that Entry or a substantially similar Entry in a subsequent Promotion Period. In the event of non-compliance with any of the terms of these Official Rules, entrant will be disqualified and all associated Entries will be voided, at Sponsor's sole discretion. By submitting an Entry, you (and if you are an eligible minor, your parent or legal guardian) hereby grant permission to Sponsor (and agree to represent (if requested to do so), in a form satisfactory to Sponsor, that you have the right to grant to Sponsor) a non-exclusive, perpetual, worldwide, irrevocable, sub licensable (through multiple tiers), assignable, fully paid, royalty free, license to display the Entry (in whole or in part) in any manner, modified, adapted and edited as Sponsor sees fit, on www.stridegum.com and other Sponsor websites, and to otherwise use, exploit, copy, modify, adapt, edit, publish, and display the Entry (in whole or in part) as Sponsor sees fit, and to incorporate the Entry in other works, in any form, manner, venue, media, or technology now known or later developed, for any and all purposes, including, without limitation, for purposes of trade, advertising and promotion, as, and to the extent, Sponsor or its designees may determine, in any and all media now known or hereafter devised, without further compensation, notification or permission. Entrant (and, if an eligible minor, his/her parent or legal guardian) agrees that Released Parties are not responsible for any unauthorized use of Entries by third parties. Released Parties do not guarantee the posting or other use of any Entry.
By entering this Contest, you (and if an eligible minor, your parent or legal guardian) represent, warrant, and agree that your Entry: (i) is original and was created solely by you, (ii) does not incorporate any material that is owned by anyone other than you (including, for example and without limitation, any trademarks or slogans or any copyrighted material owned by anyone other than you), (iii) does not contain the name or biographical information of any person (other than yourself) or any other personal information such as e-mail address or street address; (iv) does not contain any defamatory material and does not otherwise infringe upon or violate the rights of any third party or violate any federal, state or local laws or ordinances; (v) does not contain any sexually explicit or suggestive, unnecessarily violent, abusive, threatening, racist, sexist, homophobic, vulgar, obscene, immoral, offensive, indecent, hateful, derogatory or profane content; (vi) does not promote alcohol, illegal drugs, tobacco firearms/weapons (or the use of any of the foregoing) or promote any illegal activities or activities that may appear unsafe or dangerous; (vii) does not contain false or disparaging information about Sponsor or its products; and (viii) is not otherwise in violation of these Official Rules.
4. How to Submit Entry: Visit
www.stridegum.com during the Promotion Period and follow the instructions provided to fully complete the Official Entry Form, including your essay, and click the submit button. All Entries must be received by the deadline for the applicable Monthly Entry Period to be considered for that Monthly Entry Period. Incomplete Entries and/or Entries containing inaccurate entrant information and Entries which do not comply with these Official Rules will be disqualified, at Sponsor's sole discretion. The use of script, macro or any other device to automate or subvert the entry process is prohibited and all such Entries will be void. In the case of a dispute as to the entrant who submitted an Entry, Entry will be deemed made by the person named on the applicable Official Entry Form (regardless of whether that is the name of the authorized account holder of the email address from which said Entry was submitted) and he/she must comply with these Official Rules. Other than as otherwise specified herein, neither Sponsor, nor anyone acting on its behalf, will be obligated to communicate with any entrant regarding this Contest (except for the purposes of notifying the winners) or acknowledge any Entry (or portion thereof) received. Any Entry not meeting all Entry requirements stated herein will be void.
Released Parties are not responsible for lost, incomplete, invalid, unintelligible, inaccurate, undeliverable, garbled, late, stolen, damaged, delayed or misdirected Entries, all of which will be void; failures or malfunctions of phones, phone lines or telephone systems or other communications or malfunctions; interrupted or unavailable network, server, cable, satellite, Internet Service Provider (ISP) or other connections; miscommunications, failed computer hardware or software or other technical failures; garbled, lost, misrouted or scrambled transmissions; any error, omission, interruption, defect or delay in any transmission or communication; traffic congestion on the Internet or any technical problem, including, but not limited to, any injury or damage to entrants' or any other person's computer or other device related to or resulting from participation in the Contest; printing, typographical or other errors appearing within these Official Rules or in any Contest-related advertisements or other materials; or other errors or problems of any kind whether mechanical, human, technical, electronic, network, computer; or errors which may occur in connection with the administration of the Contest, the processing or judging of Entries or the awarding or announcement of the prizes.
5. Judging: Each eligible Entry received during the applicable Monthly Entry Period will be judged based on the following criteria by a panel of qualified judges determined by Sponsor in its sole discretion: 1) Originality: 0-10 points; 2) Written Expression: 0-10 points; and 3) Relevance to the Theme: 0-10 points. In the event of a tie for any Monthly Entry Period, the Entry with the highest score in Originality shall be deemed the potential winner for that Monthly Entry Period. In the event that a tie still remains, such tied Entries will be re-judged by a new panel of qualified judges determined by Sponsor in its sole discretion based on the same three criteria specified above, and such process shall be repeated until the tie is broken. One (1) potential Monthly Prize winner will be determined for each Monthly Entry Period, in accordance with the judging criteria above, from among all eligible Entries received during each applicable Monthly Entry Period (for a total of eleven (11) Monthly Prize winners). The first winner selection will take place on or about 2/26/10 and the last winner selection will take place on or about 1/4/11. Non-winning eligible Entries from one (1) Monthly Entry Period will not carry forward to subsequent Monthly Entry Periods. There is a limit of one (1) prize per person per email address and per household for the duration of the Promotion Period. Sponsor reserves the right to not award all prizes if, in its sole discretion, it does not receive a sufficient number of eligible and qualified Entries during a Monthly Entry Period. By participating, entrants (and, if eligible minors, their parents/legal guardians) agree to be bound by the terms of these Official Rules and the decisions of the Sponsor and judges, which are final and binding in all matters relating to this Contest. If any winner is an eligible minor, prize will be awarded in the name of his/her parent/legal guardian who will be considered the "winner" and will be responsible for fulfilling all requirements imposed on winners set forth in these Official Rules. Potential winners (and, if eligible minors, their parents or legal guardians) will be notified, within seven (7) days of date of judging, by telephone and/or email and/or overnight mail and/or regular mail and will be required to execute and return an Affidavit of Eligibility, Liability and (where legal) Publicity Release within five (5) days of date of issuance of notification. Noncompliance with the foregoing or with these Official Rules, any notification being returned as non-deliverable, or Sponsor's inability to contact a potential winner within a reasonable time period, may result in disqualification and, at Sponsor's sole discretion, a new winner being chosen from all eligible Entries received for the Monthly Entry Period at issue based on the judging criteria described above.
6. Prizes: (11) Monthly Prizes (one (1) per Monthly Entry Period): Each Monthly Prize winner will receive $5,000 awarded in the form of a check. All applicable federal, state and local taxes and any other expenses associated with prize acceptance and use not specified herein as being provided are the sole responsibility of the winners. Total Approximate Retail Value of all prizes = $55,000. All prize details are at Sponsor's sole discretion.
7. Miscellaneous: No transfer, assignment or substitution of prizes except by Sponsor who may substitute a prize with one of comparable or greater value, at its sole discretion. By entering, each entrant (and, if an eligible minor, his/her parent or legal guardian) agrees (1) that Sponsor and its designees shall have the right and permission to use in any manner (unless prohibited by law) entrant's name, voice, city and state of residence, Entry, photographs and/or likeness for advertising and/or trade and/or promotion and/or any other purpose online at www.stridegum.com, and in any and all venues or media now or hereafter known anywhere in the world in perpetuity without further compensation, permission or notification to entrant or any third parties, except where prohibited by law; (2) to release, discharge, indemnify and hold harmless the Released Parties from and against any liability and any claim, action, liability, loss, injury or damage to entrant or any other person or entity, including, without limitation, infringement or violation of third party rights or personal injury or death to entrant or any other person or damage to personal or real property, due in whole or in part, directly or indirectly, by reason of (a) the acceptance, possession, use or misuse of a prize; (b) participation in this Contest, (c) any element of this Contest, (d) the use of any Entry as permitted in these Official Rules or (e) the exploitation of any of the rights granted herein; (3) to waive all rights to claim or collect punitive, incidental, consequential or any other damages; (4) that all causes of action relating to this Contest will be resolved individually without resort to any form of class action; (5) that any and all claims, judgments, or awards shall be limited to actual out of pocket costs incurred, excluding attorneys' fees; and (6) that New York law shall apply exclusively to the Contest and that any dispute with respect to the Contest shall be resolved in either the federal or state courts located in the State of New York. Released Parties are not responsible for any inability of the winners to accept a prize and reserve the right, at their sole discretion, to disqualify or eliminate winners and award prizes to the next runner-up for the applicable Monthly Entry Period. In addition, by entering the Contest, each entrant (and, if an eligible minor, his/her parent or legal guardian) acknowledges and agrees that Sponsor may obtain many Entries under this Contest and that such Entries may be similar or identical in theme, idea or other respects to others submitted under this Contest and/or other Contests staged or sponsored by Sponsor, and waives any and all claims entrant may have had, may have and/or may have in the future, that any Entries and/or other works accepted, reviewed and/or used by other entrants and/or Sponsor (or its designees) may be similar to entrant's. Sponsor reserves the right, in its sole discretion, to (1) void any Entries of entrants whom Sponsor believes has attempted to tamper with or impair the administration, security, fairness or proper play of this Contest and (2) modify, suspend, and/or terminate this Contest (or portion thereof) should any cause, including but not limited to, virus, bugs, non-authorized human intervention, war, strikes, weather and/or acts of God or other causes corrupt or impair the administration, security, fairness, integrity or proper conduct of this Contest, or for any other reason, as determined by Sponsor in its sole discretion, at any time without notice and, in the case of termination, at its discretion, disqualify any suspect entrant and void any Entry, and/or to award the prize(s) for the Monthly Entry Period(s) at issue using all non-suspect, eligible Entries received for the applicable Monthly Entry Period(s) up to time of termination using the judging procedure outlined above. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND/OR OTHER REMEDIES (INCLUDING ATTORNEYS' FEES) FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU.
